The Spanish State Tax Administration Agency (AEAT) has taken this decision against entities that meet (or fail to meet) at least one of the established criteria, including:
- no business activity reported for at least 3 consecutive tax periods
- companies incorporated that do not commence operations within 3 months without justified cause
- existence of certain tax debts with the tax authorities
- engagement in suspicious activities
- use of commingled funds for the incorporation of multiple companies
When the AEAT takes action, it will publish the decision in the Official State Gazette (BOE) and will proceed, in addition to revoking the NIF, to close the company’s registry entry in the Commercial Registry.
From this moment on, the company’s operations will be affected, as it will no longer be able to:
- register in public registries
- interact with financial institutions
- obtain certificates
- remain registered in the VAT Information Exchange System (ROI/VIES) and other operators
